Constitution

1 NAME

The name of the Choir shall be Portadown Ladies Choir, hereinafter called “the Choir”.

2 OBJECTS

The objects of the Choir shall be:-

2.1 The study and practice of vocal music in order to foster public knowledge and appreciation of such music by means of public performance and/or choral competitions.

2.2 To promote the benefit of the members without distinction of sexual orientation, disability or political affiliation by engaging in and organising musical community activities and projects with the object of improving the quality of life of said members.

2.3 To enable the members to sing together, to increase their musical knowledge and ability, provide a social outlet for the members and their audiences.

3 MEMBERSHIP

3.1 The Choir shall be non-political and anti-sectarian. Membership is open to any member of the female gender who has attained the age of 18 years and meets the approval of the Musical Director that she possesses the necessary ability.

3.2 Application for membership is to be made to the Honorary Secretary. Prospective members shall be auditioned by the Musical Director at his/her discretion.

4 OFFICERS AND COMMITTEE

4.1 A Chairperson, Vice Chairperson, Honorary Secretary and Honorary Treasurer shall conduct the business of the Choir, plus other members of the Committee (hereinafter called “the Committee”) elected annually at a meeting convened for this purpose.

4.2 The Committee will have power to set up sub-committees to deal with specific interests. Such sub-committees will be made up of members of the Choir.

4.3 The Committee will have power to enlist the services of any person who will be of benefit to the Choir for any specific purpose. Such persons will not thereby become members of the Choir.

4.4 The Committee will have the power to co-opt members on to the Committee provided that the number of co-opted members does not exceed one third of the total membership of the Committee.

5 FINANCE

5.1 The Choir may raise funds by way of subscriptions, donations, legacies, grants and any form of lawful fundraising activities. The Choir may not engage in any form of permanent trading.

5.2 The Funds of the Choir shall be lodged in a reputable bank as approved by the Committee.

5.3 The Honorary Treasurer shall be responsible for managing the financial affairs of the Choir.

5.4 The Committee will appoint three signatories to the account including the Honorary Treasurer. Each and every cheque and/or withdrawal will be signed by no fewer than two of the appointed signatories. The signatories shall not be related by blood, marriage or cohabitation.

5.5 No money will be given, loaned or paid to any Officer or member of the Choir except in the case of approved expenses incurred on the business of the Choir.

6 MEETINGS

6.1 Ordinary Meetings of the Committee shall be held twice yearly to conduct the ongoing business of the Choir. The Honorary Secretary or such other appointed person shall effect not less than 7 days’ notice of such meetings.

6.2 The Annual General Meeting shall be held not more than fifteen months from the previous Annual General Meeting. It shall be the business of the Annual General Meeting to receive and discuss Reports including: the Finance Report Statement; elect the Honorary Officers and members of the Committee; appoint Honorary Auditor/s; set the amount of subscription, if appropriate; and any other business relevant to the needs of the Choir. The Honorary Secretary or such other appointed person shall effect not less than 21 days’ notice in writing or by public notice.

6.3 Special General Meetings of the Choir/Committee may be called by the Honorary Secretary or such other appointed person on the written request of not less than 4 members of the Choir/Committee respectively and endorsed by the Chairperson, stating the reason for the meeting. The Honorary Secretary or such other appointed person shall effect not less than 14 days’ notice of the Special General Meeting in writing or by public notice, stating the full reason for the meeting.

6.4 All meetings of the Choir and/or the Committee be presided over by the Chairperson of the Choir, or in her absence the Vice-Chairperson. If neither of the aforementioned officers is present, the Choir/Committee may appoint another person to preside over the business of the respective meeting.

6.5 In the case of sub-committee meetings, such sub-committees may be chaired by a person from their own number subject to the decision of the Committee.

6.6 Except in the case of proposed amendments (see clause 8), voting at all meetings of the Choir, including the Committee and any sub-committees, shall be by a simple majority. In the case of an equal number voting for and against a motion, the presiding Chairperson will have an extra and casting vote.

7 QUORUM

A quorum of all meetings of the Choir and/or the Committee shall be not less than 5 members present of the Choir/Committee.

8 AMENDMENTS TO THE CONSTITUTION

Proposals to amend the Constitution must be seconded by any member of the Choir. Any such proposals to alter this Constitution must be delivered to the Honorary Secretary of the Choir in writing not less than 28 days before the date of the meeting at which they are first to be considered. The Honorary Secretary or such other appointed person shall effect not less than 14 days’ notice in writing or by public notice, giving full details of the proposed amendment. Any alteration will require the approval of a two-thirds majority of those present and voting.

9 DISSOLUTION

The Choir may be dissolved at any time by a Resolution passed by a simple majority of those present and voting at a Special General Meeting of the Choir convened for such a purpose. The Honorary Secretary or such other appointed person shall effect not less than 14 days’ notice of the meeting in writing or by public notice, stating the full reasons for the meeting. Such Resolution may give instruction for the disposal of any assets held by or in the name of the Choir, providing that if any property remains after the satisfaction of all debts and liabilities, such property shall be given or transferred to such other charitable institution or institutions connected with the performance of music.

The Constitution of Portadown Ladies’ Choir was agreed and adopted at an Annual General Meeting on this date
